ДОГОВІР ПУБЛІЧНОЇ ОФЕРТИ ПРО КУПІВЛЮ-ПРОДАЖ ТОВАРІВ
Фізична особа-підприємець Марцінковський Юрій Олегович, яка зареєстрована в Єдиному державному реєстрі юридичних осіб, фізичних осіб-підприємців та громадських формувань в установленому чинним законодавством порядку, та діє на підставі Виписки з ЄДРПОУ 3604007158 (надалі - Продавець), з однієї сторони, керуючись ст. 633 Цивільного кодексу України, пропонує необмеженому колу фізичних осіб укласти договір про купівлю-продаж товарів через інтернет-магазин GidParfums на нижчевикладених умовах.
1. ЗАГАЛЬНІ ПОЛОЖЕННЯ1.1. Цей Договір є публічною офертою відповідно до ст. 642 Цивільного кодексу України.1.2. Продавець має право в будь-який час змінювати умови цієї оферти без попереднього погодження з Покупцем, при цьому зміни набирають чинності з моменту їх публікації на сайті https://gidparfums.com, якщо інше не зазначено в умовах оферти.1.3. Публікація цього Договору на сайті є офіційною пропозицією укласти договір купівлі-продажу товарів.1.4. Акцепт цієї оферти є рівноцінним укладенню договору на умовах, викладених в оферті, і здійснюється шляхом оформлення замовлення на сайті Продавця або шляхом оплати товару Покупцем.
2. ПРЕДМЕТ ДОГОВОРУ2.1. Продавець зобов'язується передати Покупцеві товар, що зазначений на сайті https://gidparfums.com, а Покупець зобов'язується прийняти товар і оплатити його вартість відповідно до умов цього Договору.2.2. Товар є парфумерією, аксесуарами та іншими супутніми продуктами, які можуть бути представлені на сайті Продавця.
3. ПРАВА ТА ОБОВ'ЯЗКИ СТОРІН3.1. Продавець зобов'язується:3.1.1. Надати Покупцеві товар належної якості, що відповідає опису на сайті;3.1.2. Забезпечити доставку товару Покупцю у відповідності до вибраного способу доставки.3.2. Покупець зобов'язується:3.2.1. Оформити замовлення на сайті Продавця та оплатити товар на умовах цього Договору;3.2.2. Прийняти товар в порядку і терміни, визначені Продавцем.3.3. Продавець має право:3.3.1. Не надавати товар, якщо Покупець не здійснив оплату в повному обсязі;3.3.2. Відмовити у виконанні цього Договору у разі, якщо Покупець не виконує умови цього Договору.3.4. Покупець має право:3.4.1. Отримати товар відповідно до умов цього Договору;3.4.2. Повернути товар відповідно до політики повернення товарів Продавця.
4. ВАРТІСТЬ І ОПЛАТА ТОВАРУ4.1. Вартість товару визначається відповідно до інформації, розміщеної на сайті https://gidparfums.com.4.2. Оплата товару здійснюється Покупцем шляхом перерахування коштів на рахунок Продавця або через платіжні системи, що підтримуються сайтом (наприклад, через банківські картки, електронні гроші, платіжні сервіси тощо).
5. ДОСТАВКА ТОВАРУ5.1. Продавець здійснює доставку товару Покупцю за допомогою служб доставки, зазначених на сайті Продавця.5.2. Вартість доставки визначається відповідно до тарифів служби доставки та залежить від місця доставки.
6. ПРАВА І ВІДПОВІДАЛЬНІСТЬ СТОРІН6.1. Продавець не несе відповідальності за порушення термінів доставки, якщо це було спричинено обставинами, що не залежать від Продавця.6.2. Покупець несе відповідальність за правильність вказаних даних для доставки товару.
7. ПОВЕРНЕННЯ І ОБМІН ТОВАРУ7.1. Покупець має право повернути товар у випадку, якщо товар не відповідає умовам, зазначеним у Договорі, або якщо товар має дефекти. Порядок повернення товару визначається політикою повернення на сайті Продавця.
8. КОНФІДЕНЦІЙНІСТЬ І ЗАХИСТ ПЕРСОНАЛЬНИХ ДАНИХ8.1. Сторони погоджуються з тим, що інформація, яка передається під час виконання цього Договору, є конфіденційною. Продавець зобов'язується не розголошувати персональні дані Покупця без його згоди, крім випадків, передбачених законодавством.
9. ФОРС-МАЖОР9.1. Сторони не несуть відповідальності за невиконання або неналежне виконання своїх зобов'язань, якщо це сталося через обставини непереборної сили (форс-мажор), такі як війна, стихійні лиха, епідемії тощо.
10. ПРИКІНЦЕВІ ПОЛОЖЕННЯ10.1. Цей Договір набирає чинності з моменту акцепту Покупцем оферти і діє до повного виконання зобов'язань сторонами.10.2. Всі спори, що виникають у зв'язку з виконанням цього Договору, вирішуються шляхом переговорів, а в разі неможливості вирішення — в судовому порядку згідно з чинним законодавством України.

PUBLIC OFFER AGREEMENT FOR THE PROVISION OF INFORMATION SERVICES
Entrepreneur Martsinkovskyi Yurii Olegovych, registered in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations in accordance with the applicable legislation, and acting on the basis of the Extract from the USREOU 3604007158 (hereinafter - the Executor), on the one hand, pursuant to Articles 633 and 641 of the Civil Code of Ukraine, offers an indefinite number of individuals to conclude a contract for the provision of services (hereinafter - "Agreement") under the following terms.
According to Articles 633, 641 of the Civil Code of Ukraine, this document, posted on the website https://gidparfums.com/ is a public offer, its terms are the same for all Clients, and by performing actions that indicate the acceptance of this offer, the Executor and this individual are bound by the terms of the Agreement. The payment by the Client for the services of the Executor is a full and unconditional acceptance of the offer, which is equivalent to concluding a contract under the conditions set out in the offer.
TERMS AND DEFINITIONS1.1. "Public Offer Agreement" – a public agreement, a sample of which is posted on the Executor's website https://gidparfums.com/.1.2. "Client" – an individual who has accepted the public offer – entered into a contract with the Executor under the terms outlined in the contract.1.3. "Acceptance" – the Client's full and unconditional consent to conclude this Agreement in its entirety, without the need for a written signature from the Parties.1.4. "Offer" – a public proposal from the Executor to any individual to enter into a contract for the provision of information services under the conditions set out in the proposal.1.5. "Information Service" – a service or several services related to the provision of perfumes and related items, as described on the Executor's website.1.6. "Terms of Conduct" – part of this agreement, which is mandatory for the Client to follow when using the services and confirmed by the Client's consent.1.7. "Tariff" – the payment amount set by the Executor for providing the services outlined in this Agreement, as specified on the Executor's website.
SUBJECT OF THE AGREEMENT2.1. This public offer (Agreement) defines the specifics of providing perfume-related services.According to the terms of this Agreement, the Client places an order and makes a payment for the Executor's services, and the Executor agrees to provide services as detailed on the Executor's website https://gidparfums.com/ under the conditions outlined in this Agreement.2.2. The procedure for providing services is specified on the Executor's website https://gidparfums.com/.
RIGHTS AND OBLIGATIONS OF THE PARTIES3.1. The Executor undertakes:3.1.1. To provide services of appropriate quality according to this Agreement.3.1.2. To ensure the Client has access to information regarding the services provided.3.2. The Client undertakes:3.2.1. To timely and fully pay for the services of the Executor as per the terms of this Agreement.3.2.2. To comply with the requirements, rules, prohibitions, and other conditions for the provision of services outlined in this Agreement.3.3. The Executor has the right:3.3.1. To withhold services if the Client has not made payment.3.3.2. To refuse to perform this Agreement in whole or in part in the event of the Client's non-compliance with their obligations.3.3.3. To suspend or discontinue the provision of services due to circumstances that endanger the health or safety of the Client.3.3.4. To make changes to the procedures, time, or terms of service provision, with such changes posted publicly on the Executor's website or social media platforms such as Instagram or Telegram.3.3.5. To involve third parties who have the necessary qualifications to perform specific services under this Agreement.3.3.6. To share Client information exclusively with "Monobank," "PrivatBank," and the payment service "Portmone.com" for the purpose of service payment.3.4. The Client has the right:3.4.1. To use the Executor's services in the quantity and quality paid for under this Agreement.3.4.2. To receive necessary and accurate information regarding the Executor's business hours and the services provided.3.4.3. To contact the Executor regarding the service provided or any related issues within 30 (calendar) days, but no more than 3 times for different inquiries.
COST OF SERVICES4.1. The cost of services under this Agreement is published on the Executor's official website https://gidparfums.com/.4.2. The Client pays for the services in advance through the payment systems chosen by the Executor, including "ApplePay," "GooglePay," "Portmone.com," or by card (Monobank or PrivatBank).4.4. If the Client does not appear to receive the paid services for personal reasons, the payment is non-refundable.4.5. The Executor reserves the right to unilaterally change the tariffs for services. Any changes will be published on the official website.4.6. Paid services cannot be transferred to third parties for use.
OTHER TERMS5.1. Intellectual Property Rights5.1.1. Exclusive rights to any intellectual property arising in the course of providing services to the Client remain with the Executor.5.2. All materials provided by the Executor to the Client are the result of the Executor's intellectual property.5.3. The Client is prohibited from transferring such intellectual property rights to others.
RESPONSIBILITIES OF THE PARTIES6.1. The Parties are responsible for failing to comply with this Agreement as per its terms and applicable Ukrainian law.6.2. The Executor is not responsible for failing to fulfill obligations due to the Client’s delayed payment.6.3. The Executor is not responsible for any damage caused to the Client due to incomplete or partial service provision caused by accidents or force majeure.6.4. The Client is fully responsible for failing to provide correct contact information.
DISPUTE RESOLUTION7.1. All disputes arising between the Parties will be resolved through negotiations.7.2. If the dispute cannot be resolved through negotiations, it will be handled in court according to Ukrainian law.
FORCE MAJEURE8.1. If force majeure circumstances (such as military actions, blockades, fires, floods, epidemics, etc.) occur, the terms of service delivery will be postponed for the duration of these circumstances.8.2. If force majeure persists for more than 30 calendar days, the Agreement may be terminated.
CONFIDENTIALITY9.1. The Parties agree to maintain the confidentiality of the terms and any information obtained during the performance of the Agreement, unless otherwise required by law.9.2. Any breach of confidentiality will be subject to the applicable Ukrainian law.
DURATION OF THE AGREEMENT10.1. This Agreement takes effect from the moment of acceptance and remains in force until fully executed.10.2. The Agreement may be terminated by mutual consent of the Parties in accordance with Ukrainian law.
